Terms and Conditions for Online Purchases

1.1 Definitions
In these terms and conditions, the following terms shall have the following meanings, unless otherwise stated:
(i) The website – Sensetel24 at www.sensetel24.com
(ii) Registered user – individual who has registered on the Sensetel24 website
(iii) The Service- the availability of access to supply wav files of voices by the registered user for processing by the codes developed by Verenigma Technologies Incorporated and licensed to Verenigma Limited .
(iv).Data subject- a person identified as the voice content of the wav file submitted to Senstel24 for processing.
1.2. Point of sale - the time at which the registered user creates a personal ID file is the registered user confirms their intention to purchase the item
1.3 Sensetel24 is the trading name of Verenigma Limited.
1.4 The following terms and conditions relate to the purchase of time availability for processing of data via the website www.sensetel24.com and must be accepted to enable access to these courses.
1.5 These terms and conditions for online purchases should be read in conjunction with the terms and conditions of the Data Processing Agreement which form an integral part of these terms and conditions and Sensetel’s privacy and data protection statements on the website.
1.6 Sensetel24 reserves the right to change these terms and conditions from time to time without prior notification.

2. General conditions
2.1 All services purchased are for the sole use of the registered user or subscriber (individual or organisational) as the case may be, and are for private and domestic use only. The registered user undertakes not to copy, distribute, share or otherwise broadcast any items purchased from Sensetel24 without the explicit consent of the data subject.
2.2 All details provided through the site for the purposes of purchasing items are correct at the time of purchase.
2.3 All communication with Sensetel24 should be done through the site or by email to Processing@sensetel24.com
2.4 As part of the registration process, all users must define a username, provide a valid email address and create a password. It is the responsibility of the registered user to ensure that every effort is made to keep the registration details secure and not to disclose them to anyone. Usernames cannot be transferred and registered users must not permit, either directly or indirectly, anyone other than themselves to use their username and password.
2.5 It is the responsibility of the registered user to keep the username, password and contact details up-to-date.
2.6 These terms and conditions shall be governed in all respects by English law as if the contract was wholly entered into and wholly performed within England. The parties hereby submit to the exclusive jurisdiction of the English courts.

3. Conditions of order processing
3.1 Items may be purchased using the following credit / debit cards: Delta, Mastercard, Maestro, Switch and Visa.
3.2 This service is generally available from date of payment; occasionally, technical reasons may result in a delay to registered users being able to access the service. Sensetel24 will make all reasonable endeavours to resolve any technical issues as soon as possible.
3.3 Credit / debit cards are debited at point of sale as defined in clause 1.1(v). Any delay to the registered user's access to the item for technical reasons will be dealt with as outlined in item 3.2.
3.4 Prices quoted on the site are inclusive of VAT and represent the price that will be charged to the registered user’s credit or debit card at point of sale.
3.5 The contract is formed between Verenigma Limited and the registered user at the point of sale and will be confirmed by email to the address supplied through the site. This confirmation email amounts to our acceptance of your offer to purchase the service.
3.6 Verenigma limited makes every effort to ensure the general terms and conditions on the site are pertinent to service supplied for the protection of data privacy and shall notify registered users of any amendments where such amendment affects their purchase of the service. The registered user will be given the option to cancel their order or to reconfirm the purchase of the service with the amended terms and conidtions. .
3.7 Verenigma limited warrants that reasonable endeavours have been used in the assessment of the validity, accuracy, specificity and sensitivity of the code to the analysis of voice emotion detection and its ancillary elements. However, Verenigma Limited offers the supply of the data on the basis that it in no way offering advice and accepts no liability for the registered user’s reliance upon the information supplied. Further no liability is accepted in terms of owing any duty of care thereby.
3.8 In so far as any liability is found it shall be limited to the cost of the monthly use of the service by the registered user. We are not liable for business losses. We only supply the subscription for private use. If you use the subscription for any commercial, business or resale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
3.9 If you pay for your digital subscription by continuous monthly debit or credit card payment, details will be included in your welcome email.
3.10 Monthly rolling subscription:. The subscription will renew automatically at the end of the current monthly subscription period unless you cancel in accordance with paragraph 3.15 below.

3.11 You have a right to change your mind about your subscription within the first 14 days of your order, please see paragraph 3. Below
3.12 Billing will continue according to the cycle stated at the time of your order and payments will be in advance in accordance with that stated cycle.
3.13 A subscription may become invalid if we are unable to collect payment for the service
3.14 Monthly rolling subscription: You may terminate your subscription at any time. Please also see paragraph 3.15 below on your right to change your mind within the first 14 days of your order.
3.15 Termination within 14 days of subscribing: You may cancel your subscription within 14 days of subscribing and you shall receive a refund of any payment that you have paid to us without undue delay (using the same payment method used by you to purchase your subscription,) and, in any event. Unlimited access to the paid-for content will stop immediately.
3.16 You may cancel your subscription at any time (subject to the below) but your subscription will only terminate at midnight on the last day of the current subscription period. You must cancel at least 24 hours before the end of the current subscription period. If you do not cancel your subscription at least 24 hours before the end of the current subscription period, then your subscription will automatically renew for one (1) month and will terminate at the midnight on the last day of that further subscription period.
3.17 You stop paying for your subscription: If you stop paying for your subscription, we may terminate your subscription immediately without any liability to you and you will not be entitled to a refund of any money you have already paid for your subscription. This paragraph is subject to paragraph 3.15 above
3.18 How to cancel your subscription:
1. All subscriptions: You may cancel your subscription by emailing us at processing@sensetel24.com and providing your name, home address, details of the order and, where available, your phone number and email address

3.19 Where you have subscribed as an in-App purchase: In addition to the methods set out at paragraph 3.18.1, you can also cancel via the app store (Apple or Google) through which you downloaded the App.

4. Miscellaneous
4.1 Amendments: We may make amendments to these Terms and Conditions to reflect changes in the law or in how we conduct our business. If we amend these Terms and Conditions we will notify you by sending an email to the registered email address and you may then contact us to end the contract before the changes take effect and receive a refund for any services paid for but not received.
4.2 Rights of other Parties: Nobody else has any rights under these Terms and Conditions. Your contract is between you and us.
4.3 Enforceability: If a court finds part of these Terms and Conditions illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
4.4 Waiver of Rights: Even if we delay in enforcing these Terms and Conditions, we can still enforce them later. For example, if you miss a payment and we do not chase you but we continue to provide the subscription, we can still require you to make the payment at a later date.
4.5 Delays outside our control: If our supply of the subscription service is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the subscription and receive a refund for any services you have paid for but not received.
4.6 Which laws apply to this contract and where you may bring legal proceedings: These terms are governed by English law and the courts of England shall have non-exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these terms or their subject matter or formation. If you live in England you can bring legal proceedings in respect of your subscription in the English courts. If you live in Scotland you can bring legal proceedings in respect of your subscription in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of your subscription in either the Northern Irish or the English courts.
